Article VI:
MEETINGS & COMMITTEES (continued ... )
Special
Committees
Special
Committees shall be compromised of members of the Board or of the Coalition
with Board approval.
ARTICLE VII:
QUORUM
A majority of
the voting membership shall be a majority of Board members; a quorum for Annual
or Special Meetings shall be a majority of voting members in attendance at that
meeting.
ARTICLE VIII:
VOTING
Section 1:
Voting at Annual & Special Meetings
Each voting
member shall be entitled to one vote. A designated alternate for organizational
members shall be permitted to vote only in the absence of the principle
member.
Voting by proxy
for election of Board Members shall be allowed by the Board on a case-by-case
basis.
ARTICLE IX:
BY-LAW AMENDMENTS
These by-laws
may be adopted, amended, altered, changed, or replaced by the affirmative vote
of 51% of the voting members present at a regular, annual, or special
meeting.
ARTICLE X:
FISCAL YEAR
The fiscal year
of the UPRC shall be the twelve (12) month period form June 1 to May
30.
